Share Holder: They legally hold part ownership of the company in forms of shares in a particular company.
- have right to vote on major issues affecting the company like mergers
- they have the right to receive dividend, Bonus, Apply for rights issue if they company decides to give
- they can enjoy the capital appreciation of the company
- they have right to sell their stock i.e. ownership in the secondary market
Promoter: are the initial investors of the company, founders of the company. performs preliminary duties necessary to bring the company into existence
- He discovers the business opportunity
- conceptualize the business idea
- conducts feasibility studies and analysis
- he cant make any secret profit at the expense of the company
Director:a group of individuals elected to act as representatives of the share holders of the company and make decisions on major issues of the company.

Promoter:- A person who first started the company or promoted the company. He may own some shares of the company. He need not be the person running the company.
Director :- A person who runs the business. A director can also hold some shares of the company. He is fully responsible for running the business and takes all decisions regarding the company.

Promoter is one who promotes the company and at one point they do not have any role in the functioning of the company, all they do is just promote the company to the market. The director of the company MD/CEO is like a captain of the ship who has full control of the company in business sense and carries out the activities required for the growth of the company. He is the one takes the call whether or not to give dividends or not for the share holders.

Promoter is the one who starts the company and get the company listed in stock exchanges. Promoter may have shares or may not have shares.
Director is the one who is appointed by the share owners and he runs the company, he gets his monthly salary decided by the share holders.

Promoters are the founder of the company not necessary be the owner but they are the ones who proposes the business model and gets listed in the market.
Directors runs the operation of the company appointed by the shareholders. He works on a salary basis.
