Share holder is an investor in the company and is a part owner of the company.Share holder with adequate investment may become a board of directors.  The initial envisioning of the project is done by the promoter . He may be the owner or entrusted to run the company . After successful start of the project the promoter may sell his stake and move on .

The director is the major share holder   in the company and  makes the decisions on behalf of the minority share holders. Mostly this is a 51% stake but in large corporations this could be as less as 20%. Usually it is kept on the higher side to avoid any hostile move by other shareholders to get a controlling stake in the company.
