IPO is the Initial Public Offering through which the Company advertise its requirement, nature and amount of shares through which capital is raised, plans of how to utilise the capital and what is the expected return. SEBI’s approval is required before IPO. The application form interested public will be received and allotment will be done on prorata basis.

SEBI is the regulatory authority formed to protect the interest of the investors. They have ultimate power to control the stock exchange and companies to protect investors. Primary market is the market where the shares of a particular Company can be bought for the first time. This is usually done by advertisement in IPO and allotment process. This cannot be traded in Stock Market.

Investment is done for the long term wealth creation. Generally based on fundamental analysis and growth expectation of the Company.
Trading is done to make profit in a short term. Generally 1 day to 3 months is the period for trading. This is done using the technical analysis and prevailing market situation

The shareholders has the right to ask for refund. But the Companies Director has the right to decide whether to buy back and provide refund or no as the money would have been invested in some project along with other people money. It would be the best option to sell in secondary market and exit for the ease of the shareholders.

Stock market is the place where the shares could be bought and sold by the investors and traders. It is created for better control and transparency. Creation of big market at one location rather than scttered location will attract investors form different parts.

Demat a/c is the De-Materialised account in which the share certificate can be stored in electronic format. This account can be opened in NSDL/CSDL. This is mandatory for investment/ trading in stock market as neither NSC/BSE nor stock broker could hold the share certificate and Demat is mandatory for the same.
