Demat A/C Means holding the shares in the digital format.Before 2000 people used to have their shares in physically format,maintaining shares in physical format is a tedious work for the stock exchange,for this reason they made shares in digital format.

No, he has no right to ask for refund or dividend,because the amount which he invested is utilised by company for the business expansion.But he can sell his shares in the stock market.(Secondary Market)

Primary Market means buying the shares directly from the company. In any financial emergency a share holder cannot ask for a refund or a dividend.
Secondary Market means shares can be bought or sold.In any financial emergency a share holder can sell his shares.
