Primary Market is where new shares are offered to the public. Secondary Market is where previously issued shares are traded. The Stock Exchange is a Secondary Market.

No, the share holder does not have a right to ask for dividends of refund. It is the company’s prerogative to retain its earning or pay a part of its earnings to stockholders as dividends. However, a stockholder can sell his shares and get the money based on the current market price of the share.
