The shareholders do not have the right to ask for refund of their money from the company. They can sell it in the secondary market only. In the same way they also don’t have the right to ask for dividends unless and until it is declared by the board.

shareholders are owners of the company. They have the rights to sell their ownership title, attend meetings and right to vote.
Promoter is a person who take active steps in formation, organizing and financing of a company. Promoters right consists of receiving remuneration and preliminary expenses.

Investments are made from long term perspective not on a regular basis. On the other hand trade is an activity which is carried on a regular basis involving transfer of ownership from one person to another
